Terms and Conditions of Sale

1. General Provisions

1.1. These Terms and Conditions of Sale (hereinafter – the “Terms”) are a legally binding document for both parties, establishing the rights, obligations, and responsibilities of the Buyer and the Seller when the Buyer purchases goods from the online store studiomementovivere.com (hereinafter – the “E-store”).

1.2. The Seller is Gerda Kavaliauskaitė, a natural person operating under Individual Activity Certificate No. 1505336, email: info@mmntvr.com.

1.3. For the purposes of these Terms, the Buyer is any person purchasing goods from the E-store.

1.4. The Seller reserves the right to amend, modify, or supplement these Terms at any time. Buyers will be informed of changes on the E-store website. The Terms valid at the moment the order is placed shall apply to the Buyer’s purchase.

2. Conclusion of the Purchase–Sale Agreement

2.1. The agreement between the Buyer and the Seller shall be considered concluded from the moment the Buyer, after creating a shopping cart in the E-store, entering the delivery address, selecting a payment method, reviewing these Terms, clicking the “Order” / “Buy” button, and completing payment.

2.2. Each purchase–sale agreement concluded between the Buyer and the Seller shall be registered and stored in the E-store database.

3. Rights and Obligations of the Buyer

3.1. The Buyer has the right to purchase goods from the E-store in accordance with these Terms.

3.2. The Buyer undertakes to accept the ordered goods and pay the agreed price for them.

3.3. The Buyer undertakes not to disclose their login details to third parties (if registration is available in the E-store).

3.4. When using the E-store, the Buyer must comply with these Terms, other conditions clearly indicated in the E-store, and the laws of the Republic of Lithuania.

4. Rights and Obligations of the Seller

4.1. The Seller undertakes to provide all conditions necessary for the Buyer to properly use the services provided by the E-store.

4.2. If the Buyer attempts to harm the stability or security of the E-store or violates their obligations, the Seller has the right to immediately and without prior notice restrict or suspend the Buyer’s access to the E-store.

4.3. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by the Buyer under the agreed conditions.

4.4. Due to important circumstances, the Seller may temporarily or permanently discontinue the operation of the E-store without prior notice to the Buyer.

5. Product Characteristics, Prices, and Payment Procedure

5.1. The main characteristics of each product sold are generally indicated in the product description accompanying each item.

5.2. Products are handmade; therefore, the actual appearance of the product (color, texture, small details) may slightly differ from the images displayed in the E-store. Minor discrepancies shall not be considered product defects.

5.3. Product prices in the E-store and in the final order are indicated in euros (EUR). The Seller is not a VAT payer; therefore, VAT is not applied or included in the price.

5.4. The Buyer pays for the goods using the payment methods integrated into the E-store (e.g., online banking, payment cards). Order processing begins only after full payment has been received.

6. Delivery and Returns

6.1. The conditions, terms, and costs of product delivery are described on the E-store Shipping Policy page.

6.2. The conditions, procedures, and deadlines for returning goods are described on the E-store Warranty and Returns page.

6.3. The Buyer’s right to withdraw from a distance contract and return quality goods does not apply to contracts for goods made according to the Buyer’s specific instructions, which are not pre-manufactured and are produced based on the Buyer’s personal choice or instruction, or for goods clearly tailored to the Buyer’s personal needs.

7. Liability

7.1. The Buyer is fully responsible for the accuracy of the data provided in the registration or order form. If the Buyer provides inaccurate data, the Seller shall not be liable for the resulting consequences and shall have the right to claim compensation for direct losses incurred.

7.2. The Seller shall be exempt from any liability where losses arise because the Buyer, despite being given the opportunity, failed to review these Terms, the Seller’s recommendations, or the Buyer’s obligations.

7.3. In the event of damage, the party at fault shall compensate the other party for direct losses incurred.

8. Processing of Personal Data

8.1. The procedure for processing the Buyer’s personal data is established in the E-store Privacy Policy.

9. Dispute Resolution

9.1. Any disputes arising from the implementation of these Terms shall be resolved through negotiations. If no agreement is reached within 14 (fourteen) days, disputes shall be resolved in accordance with the laws of the Republic of Lithuania.

9.2. If the Buyer (consumer) disagrees with the Seller’s response to a written complaint, the Buyer may submit a request/complaint regarding goods purchased in the E-store to the State Consumer Rights Protection Authority (Vilniaus g. 25, 01402 Vilnius, email: tarnyba@vvtat.lt, phone: +370 5 262 67 51, website: www.vvtat.lt) or complete the application form on the Online Dispute Resolution (ODR) platform: http://ec.europa.eu/odr/.

10. Final Provisions

10.1. These Terms have been drawn up in accordance with the laws of the Republic of Lithuania.

10.2. The laws of the Republic of Lithuania shall apply to all relationships arising under these Terms.
